This Terms and Conditions Agreement ("Agreement") is entered into between MarketRegal.com, a brand registered under SolisVelvet eCommerce Services Private Limited, Bengaluru, India ("MarketPlatform", "We", "Us", or "Our") and the User ("You", "Your", "User"), which includes Buyers, Sellers, Affiliates, and Partners.

By accessing or using MarketRegal.com ("Platform"), You agree to be legally bound by the terms of this Agreement.

By clicking "I Agree” or continuing to use the Platform, You acknowledge that You have read, understood, and accepted the terms outlined herein.

1. Definitions

  • MarketPlatform: MarketRegal.com, the online marketplace owned and operated by SolisVelvet eCommerce Services Private Limited.
  • User: Any individual or entity, including buyers, sellers, affiliates, and partners accessing or using the Platform.
  • Seller: A vendor who lists and sells products or services on the Platform.
  • Buyer: A customer purchasing goods or services via the Platform.
  • Affiliate: An individual or business promoting the Platform and earning referral commissions.
  • Partner: Third-party entities including logistics providers, payment gateways, and service providers.
  • RFQ Module: A feature that enables buyers to request quotations from sellers for bulk transactions.
  • Governing Jurisdiction: Courts of Bengaluru, Karnataka, India, having exclusive legal jurisdiction.

2. Eligibility

  • Users must be at least 18 years old.
  • By registering, You confirm that all submitted information is true, complete, and lawful.
  • MarketPlatform reserves the right to approve, suspend, or terminate any user account at its discretion.

3. User Accounts & Responsibilities

  • Users must register with accurate credentials.
  • Users are responsible for maintaining account security and confidentiality.
  • Unauthorized or suspicious activities may result in suspension or termination of access.

4. Seller Obligations

  • Comply with Indian laws including the Consumer Protection Act, 2019, IT Act 2000, and GST regulations.
  • List only genuine, authorized, and compliant products.
  • Honor RFQ commitments and pricing.
  • Maintain timely deliveries and uphold customer service standards.
  • MarketPlatform may levy penalties or suspend accounts for repeated non-compliance.

5. Buyer Responsibilities

  • Provide accurate payment and shipping details.
  • Raise disputes through platform mediation first.
  • Use RFQ for serious inquiries only.

6. Affiliate Program

  • Follow terms outlined in the Affiliate Agreement.
  • Engaging in fraudulent referrals will lead to forfeiture of earnings and account deactivation.

7. Payments & Fees

  • Processed through RBI-compliant gateways.
  • Subject to transaction and commission charges.
  • RFQ payments may follow extended payout schedules.

8. Refunds & Chargebacks

  • Initiated through the platform’s resolution center.
  • Sellers must comply with return/refund laws.
  • Unauthorized chargebacks may result in legal action.

9. Intellectual Property

  • All Platform content is owned or licensed by SolisVelvet eCommerce Services Private Limited.
  • Unauthorized use or listing of counterfeit items is prohibited.

10. Limitation of Liability

  • No liability for indirect, incidental, or consequential damages.
  • Our maximum liability is limited to the transaction fee paid in the last 30 days.

11. Force Majeure

  • We are not liable for delays or failures due to uncontrollable events such as cyberattacks, natural disasters, or system outages.

12. Dispute Resolution

  • Disputes must first go through platform mediation.
  • If unresolved, arbitration will be conducted in Bengaluru, Karnataka under Indian law.

13. Modifications to Terms

  • We may update these terms periodically.
  • Continued use post-update implies acceptance.

Seller Agreement

This Seller Agreement ("Agreement") is entered into between MarketRegal.com, a brand registered under SolisVelvet eCommerce Services Private Limited, Bengaluru, India, and the Seller ("You", "Your", "Vendor").

By registering and selling on MarketRegal.com, You agree to be legally bound by this Agreement, including compliance with applicable Indian e-commerce laws, including the Consumer Protection (E-Commerce) Rules, 2020, the IT Act, 2000, and GST regulations.

1. Seller Registration & Business Information

  • Provide accurate business name, GSTIN, PAN, bank account, and supporting documents.
  • Marketplace reserves the right to verify, reject, or suspend accounts for non-compliance or inaccuracies.

2. Product Listing & Responsibilities

  • List only genuine, legal, and compliant products with updated details.
  • Prohibited items include counterfeit goods, restricted substances, or IP-violating items.
  • RFQ pricing must be honored for confirmed orders.
  • Follow return, refund, and SLA guidelines as per platform policy.

3. Order Processing & Logistics

  • Dispatch orders promptly and package items securely.
  • Handle returns and disputes professionally.
  • Shipping charges apply if platform logistics are used.

4. Payments & Commissions

  • Commission is deducted per sale, and settlements are issued after successful delivery.
  • Chargebacks or penalties will be adjusted in subsequent payouts.

5. Tax Compliance

  • Seller is responsible for GST and local tax obligations.
  • Invoices must be raised for each sale with valid GSTIN (if applicable).

6. Account Suspension

  • Violations may lead to suspension, delisting, or termination.
  • Sellers can request closure with a 30-day notice.

7. Data & Confidentiality

  • Do not misuse buyer data or disclose platform insights.
  • Comply with IT Act 2000 and IT Rules 2011 regarding data protection.

8. Legal Jurisdiction

  • Indian laws govern this agreement, and disputes are subject to Bengaluru jurisdiction.

By selling on MarketRegal.com, You agree to the Seller Agreement and all platform policies.

Advertiser Agreement

This Advertiser Agreement ("Agreement") is entered into between MarketRegal.com, a brand registered under SolisVelvet eCommerce Services Private Limited, Bengaluru, India, and the Advertiser ("You", "Your").

By registering and advertising on MarketRegal.com, You agree to comply with the IT Act 2000, ASCI guidelines, and Consumer Protection Rules 2020.

1. Advertiser Registration

  • Submit accurate business info, PAN, GSTIN, and authorization documents if required.

2. Ad Content Compliance

  • No false, misleading, illegal, or IP-violating ads are allowed.
  • All discounts and claims must be substantiated and lawful.

3. Ad Placement & Performance

  • No guarantee of impressions or conversions is provided.
  • Ad visibility depends on bidding and available slots.

4. Billing & Payment

  • Prepaid or billing cycle options available; dues must be cleared to avoid suspension.

5. Legal Compliance

  • Advertiser indemnifies the platform from third-party claims.
  • MarketRegal reserves the right to remove non-compliant ads.

6. Termination

  • 30-day notice required by advertiser to close account.
  • Policy violations may lead to immediate suspension.

7. Data Privacy

  • No sharing of customer or campaign data is allowed.
  • Confidentiality must be maintained on campaign performance, pricing, etc.

8. Disputes

  • Disputes will be resolved via arbitration under Indian laws, jurisdiction in Bengaluru.

By advertising on MarketRegal.com, You agree to this Advertiser Agreement and all platform terms.
